These Terms govern use of the SmashBook website, platform, applications, and related services.

1. About SmashBook

SmashBook is a trading name of Smashbook Ltd, a company registered in England and Wales under company number 17199373. Our registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.

Smashbook Ltd operates the SmashBook platform and provides the Services.

2. The Service

SmashBook provides technology for padel clubs, including court bookings, player management, staff operations, memberships, payments, tournaments, communications, reporting, analytics, CRM, mobile applications, and related club-management features. SmashBook provides the technology platform. Each Club remains responsible for the sports, coaching, event, membership, and venue services it provides to Players.

3. Definitions

SmashBook
the product and trading name used for the platform.
Smashbook Ltd
the legal entity that operates SmashBook.
Platform
the SmashBook website, web applications, mobile applications, software, tools, and related systems.
Club
a padel club, venue, operator, or organisation using SmashBook.
Player
an individual who uses SmashBook to interact with a Club.
Authorised User
a Club staff member, administrator, coach, Player, or other permitted user.
Account
a user or Club account created to access the Platform.
Subscription
a paid or early-access plan for use of SmashBook.
Club Data
data, content, logos, materials, records, and player or staff information supplied by or on behalf of a Club.
Services
the Platform and related setup, support, hosting, analytics, communications, and club-management features.

4. Accounts and Responsibilities

  • Users must provide accurate information and comply with applicable laws.
  • Login details must be kept secure and must not be shared inappropriately.
  • Clubs are responsible for managing staff access, roles, permissions, and removal of access when it is no longer needed.
  • Suspected unauthorised access or security incidents should be reported promptly.
  • Users are responsible for activity carried out through their Account.

5. Clubs and Players

Clubs provide court, coaching, event, membership, and related services. Clubs set their own booking, cancellation, refund, pricing, safety, and operational rules. SmashBook is not the provider of the underlying padel or club services, so disputes about Club-delivered services should normally be handled by the relevant Club.

6. Subscriptions, Pricing, and Payments

  • Applicable fees will be displayed in the relevant order form, pricing page, subscription agreement, or account area.
  • The public Pricing page describes a 0.75–1.5% net margin on processed bookings via Stripe Connect and early-access preferential launch pricing.
  • Payment processing may be provided by Stripe or another payment provider. SmashBook does not store full card numbers where a payment provider handles card processing.
  • Fees may include subscription charges, transaction-related charges, taxes, VAT, or payment-provider fees where applicable.
  • If a payment fails, access may be limited or suspended until the issue is resolved. Refunds and cancellations are handled under the relevant Club agreement, order form, account area, and applicable law.
  • Pricing may change, but we will use reasonable efforts to notify affected Clubs before material pricing changes take effect.

7. Acceptable Use

Users must not use the Platform for unlawful activity, fraud, impersonation, unauthorised access, malware, scraping that harms the Services, interference with platform security, abusive or harmful content, misuse of player data, or intellectual-property infringement.

8. Suspension and Termination

Clubs may cancel according to their subscription agreement or account terms. SmashBook may suspend or limit access for security issues, misuse, non-payment, or legal reasons. Termination does not remove outstanding payment obligations. Access to data after termination may be limited, and data export or deletion will be handled according to the Privacy Policy, contract, and applicable law.

9. Service Availability

We use reasonable efforts to maintain the Platform, but the Services may occasionally be unavailable because of maintenance, updates, incidents, third-party provider issues, or changes to early-access or beta functionality. We do not promise uninterrupted operation unless a separate written service-level agreement applies.

10. Intellectual Property

Smashbook Ltd owns the Platform, software, branding, design, documentation, and related intellectual property. Clubs retain ownership of their Club Data, logos, content, and materials. Clubs grant Smashbook Ltd the limited rights needed to host, process, display, and transmit that content to provide the Services. Users must not copy, reverse engineer, resell, or misuse the Platform except where permitted by law.

11. Data Protection

Personal data is processed according to our Privacy Policy. Clubs may act as data controllers for their player and staff data, and Smashbook Ltd may act as a processor when processing that data on a Club's instructions. Smashbook Ltd may also act as an independent controller for its own account, billing, security, legal, and business-administration activities.

12. AI and Automated Assistance

SmashBook may provide forecasting, recommendations, insights, AI-assisted communication, or other automated assistance. Outputs may be incomplete or inaccurate. Users must apply human judgement, and Clubs remain responsible for operational and business decisions. AI features do not provide legal, financial, medical, or professional advice. Users should not enter unnecessary sensitive personal information into free-text AI fields.

13. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded. For other losses, liability will be assessed under the applicable contract, these Terms, and the law of England and Wales.

14. Changes to These Terms

We may update these Terms as the Services develop or legal, operational, or security requirements change. We will use reasonable efforts to notify affected account holders of material changes. Continued use after changes take effect means the updated Terms apply.

15. General

  • Force majeure: neither party is responsible for delay or failure caused by events beyond reasonable control.
  • Severability: if part of these Terms is invalid, the rest remains in effect where legally possible.
  • Waiver: a delay in enforcing a right does not mean that right has been waived.
  • Assignment: Clubs may not transfer their rights under these Terms without our consent. Smashbook Ltd may assign these Terms as part of a reorganisation, sale, or transfer of the business.
  • Entire agreement: these Terms and any agreed order form, subscription agreement, or written contract form the agreement for the relevant Services.
  • Third-party rights: no person other than the parties has rights to enforce these Terms unless applicable law says otherwise.
  • Notices: formal notices should be sent using the contact details provided by the parties or through the account area where available.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction to resolve any such dispute or claim, except where applicable law provides otherwise.
